On The China National Security Review Of Foreign Acquisition

Firstly,by intruducing China national security review of foreign acquisition background,practical reasons, and security review of foreign mergers and acquisitions in China the statusof legislation, indicating that the outside world under the dual pressure Establishing foreignacquisition of a national security review system including the introduction of the nationalsecurity review system established in order tosafeguard national security. Followed by thesubstance and procedures of the national security review of foreign mergers and acquisitionsof two parts on foreign acquisition of national security review system, the main object fromthe review, the standard of review, the review authority, the four aspects of the reviewprocess of China’s foreign national security review system, while drawing on the UnitedStatesand Canada and other countries of foreign acquisition safety legislation beneficialexperience, propose some suggestions to improve the national securituy review system forforeign mergers and acquisition in China.The main contribution of this paper is a combination of the provisions of the2011China’sState Council on the establishment of a foreign investor merges a domestic enterprisesecurity review, and August25,2011Commerce Department to implement a foreign investormerges a domestic enterprise security review system the latest legislation, systems theoryand practice summary of China’s foreign acquisitions system of national security review ofprevious studies, I hope to be able to contribute to the construction of China’s nationalsecurity review of foreign acquisition.
