The Chinese economy is growing more related with the global economy while its reforming is forwarding. Cross-border M&A, including that occurred in domestic market or launched by Chinese enterprises overseas is warming up. Consequently, more and more country paid more attention on international M&A review about national security. Having a view on the system of international M&A review about national security in china and learning from other countries', it is significant to make up vulnerability to national security review in china in the context of global economic crisis.This article is divided into four chapters, the main elements as following: the first chapter is the foundation of this article, introducing the basic concept and legal source related with cross-border M&A review on national security .Chapter II introduced the procedures and standards of cross-border M&A review on national security system in the United States and China. Chapter III took the U.S. market as an example, with a focus on China's overseas mergers and acquisitions. Chapter IV mainly summarized the foreign M&A review system on national security in china.
