Incentive problems are the focus of many scholars and enterprises for a long time,most modern enterprise is with management mode of the separation of management andownership, enterprise owners hire senior executives to manage enterprises, whereuponthey produce benefits relation, with the benefits relation, both sides of the conflict andthe incentive problem of executives have emerged. With the global economy integration,the enterprises in our country face more and more competition, executives become themost precious and most complex and most wanted resources, executives in the processof how to use enterprise resources and promote the sustainable development ofenterprise, they have very strong innovation ability and management ability, to becomeindispensable important resources of the enterprise development. In China, with thecontinuous improvement of the securities market, the number of the listed companyincreases year by year, the scale of company continues to expand and managementstructure improves, they need a lot executives with comprehensive ability to manage theproduction and business activities of the listed company, so as to maintain the interestsof the shareholders and investors. Excellent executives not only bring to enterprisehigher profits, but also lay a solid foundation for the sustainable development of theenterprises. At the same time, with the growth of awareness of the importance ofexecutives, how to reasonably incent executives, prompting executives think from theperspective of the owners, and constantly improve the enterprise performance andmarket position and achieve purpose of win-win, become the focus of the enterprise andmany scholars.This paper defines the concept of executive of the listed company andcompensation, and reviews basic theory and empirical research results of executivecompensation, and then according to the Internet and annual reports of listed companydata, analysis the current situation of executive compensation of auto industry listedcompany in China, and sums up the characteristics. According to the analysis ofexecutive, raise the main influence factors of compensation level, including benchmarkfactors, management factors and contingency factors.In the empirical part, the sample is2008,2009and2010domestic auto industryshare A listed company of Shanghai and Shenzhen, with SPSS17.0software, taking thecorrelation analysis and multivariate linear regression analysis of compensation affectingfactors of auto industry executive and reach the following conclusion:1.The company performance, the company scale, executives age, executives shareholding, two jobs haveinfluence on executive compensation of auto industry listed company.2. Share structure,the area, the proportion of the independent directors not have significant influence onexecutive compensation of auto industry listed company.
