Corporate governance is a system arrangement of the stakeholders rights and obligations, which involved assessment of managers, supervision and incentives, control of the company, the organizational structure and function of board, and it has been a hot topic in corporate finance research. There are so many researches about corporate governance, and different researchers analysis this question in different perspective. Ownership structure is a core element of corporate governance, which affect the operating performance though some influences in corporate governance. This article analyzes the relationships between the bank’s ownership structure and operating performance after discussing the specificity of commercial banks. And this paper may play a role in optimizing the bank’s ownership structure and improving corporation governance efficiency.First, this paper summarizes the abroad and internal researches about the corporate governance and ownership structure.Second, this paper discusses the commercial bank’s specific characteristics and specific characteristics of bank’s corporate governance. Commercial banks have such characteristics as high debt ratio in capital structure, non-transparent asset transactions and very strict industrial control and supervision, which determines the specific characteristics of bank’s corporate governance.Third, this paper describes the ownership structure of commercial bank in china.Fourth, this paper put seven hypothesis about the relationships of the bank’s ownership structure and operating performance, then verify the hypothesis by positive analysis.Last, this paper draw the conclusions.
