Large provincial state-run construction enterprises, as a particular market economy organization, during the transition from a planned economy to the market economy, because of its structure obstacle, its internal adjustment mechanism always can not follow the steps of market changes. Many enterprises get into trouble and face with the common challenge that is how to get out of such difficult position.This article is subject to the CA company background which is under the same trouble as described above, give a summary on how to react to market rules, become adaptable to market change and break the conservative and old-fashioned idea pattern. The context also provides an analysis on the internal and external environment factors of the cooperation that is under difficult situation. Some solutions to proactively adjust unsuitable internal mechanism, take effective measures to improve and attempt to some breakthrough practices which have been proved affective in other cooperation mechanism, can be shared to other provincial state-run enterprises which is undergoing the difficulty.The thesis is composed of five chapters. The first chapter introduces the background of research-targeted CA company and clarify the research purpose and goal. The second and third chapters are aimed to elaborate the developing status and competition role of CA company and analyze the major forming reason of company’s difficult situation. The fourth chapter explores the significant measure and breakthrough that CA company takes to get out of difficulty. The final chapter investigates and takes deeper thinking on the opportunity, challenge and sustainable development that CA company has been facing.Based on analysis of CA company, the further demonstration of adjustment to internal mechanism to adapt to market may receive conceptual barrier, but it has prov effectiveness to make a change in difficult time. The goal of stepping out difficult position is to expect enterprise itself has the ability to choose the path of sustainable development. If there’s no effective approach to deal with difficult situation, the cooperation will only end up with merge, reformation or bankruptcy. This article combines the relative theoretical knowledge learnt from EMBA study related and successful practices of enterprises, and tries to make the provincial state-owned construction enterprises to realize that real deep-rooted problems of obstructing the enterprises to develop substantially still exist.For the opportunities and challenges co-existing in the future environment, enterprise development process can not be treated carelessly. Recognizing that the provincial state-run construction enterprises will face even more severe market competition, and the state-owned enterprises which has managed get out of trouble still remain severe conflict between internal mechanism and market competition. In the meantime, dominance of Central Enterprises at the high-end market, barriers of the trade monopoly, flexibility of private enterprise and lacking of protection from provincial administrative department make the crisis possibly recur any time and state-owned provincial enterprises will be no longer getting out of crisis easily again. Therefore, how to decide developing direction and path is the highly focused issue for the enterprise.Based on analysis on the external and internal environment of the state-owned provincial construction enterprise, the essay searches and analyses such developing path:along with the construction market getting more standardized and mature, the internal planned economic of the state-owned enterprises eliminating, the historic burden alleviating, the demands of enterprise reform becoming more intense, the government is exiting from management gradually and the opportunities of reform will arrive unexpectedly. Provincial state-owned construction enterprises should catch the last chance, seize the choice and be dedicated to raise up market captivity, transit from a state-controlled to a diversity of the capital structure of the commercialization of a fully competitive construction company, or become a public listed company.
