China’s state-controlled commercial banks have important influence on economic and experienced a special reform path. After being reformed into joint-stock commercial banks and listed on Stock Exchange with modern corporate-governance-structures respectively, the performance of the state-controlled commercial banks improved very much and as well as the competence in global market, while comparing to the most excellent commercial banks on international market, the state-controlled commercial banks have disadvantages both in profit and risk-control.This paper looks into the state-controlled commercial banks’corporate-governance on the industrial level. Firstly, we review existing papers on this item, most of which were about the application of modern corporation-governance theories on state-controlled commercial banks, and others specified the special characters of state-controlled commercial banks. Secondly, we do some research on the reform-path and the corporate-governance’now-status of state-controlled banks, resulted as that China’s state-controlled commercial banks and the international advanced banks share the same theory foundation on the corporation-governance, and they have the same corporate-governance structure. In the third part, we do some comparative study on international advanced banks’corporate-governance. Not like the traditional study, we look into this project with the theory of industrial organization on the industrial level, which means that the industrial structure determines the corporates’conducts and then the performance. Based on the studies, we find that, as the corporate-governance structures are same, the gap between China’s state-controlled commercial banks and the international advanced banks result from the different industrial structures in different countries. Lastly, we suggest that the essential issue of China’s state-controlled commercial banks’corporate-governance is to establish real competitive entities on social market, and conduct with market means but not attempting to dissipate monopoly rents by capturing the regulator.
