30years of reform and opening up, China’s economic and social development has made amazing achievements.12years into the21st century, all the various social fields develop more rapidly, especially the financial sector. After drastic reforms, the financial sector gradually matured. Representative of the joint-stock reform of commercial banks has become a milestone in the history of the development of the banking industry. In the international environment of intensified competition in the banking industry, international operations of China’s commercial banks has become an inevitable trend, and overseas mergers and acquisitions become the vital choice of China’s commercial banks to promoting the international level. But it is only twenty years since the first overseas mergers and acquisitions of China’s commercial banks, and the number of deals was only25, in which most of them happened in10years. So China’s commercial banks can learn very limited from the experience of overseas mergers and acquisitions.The article tries to research the overseas mergers and acquisitions performance of China’s commercial banks in the past, evaluating its success or failure, exploring its reasons, and giving the suggestions. First of all, we will define the relevant concepts and review some theory. Secondly, we will analyze the current situation of overseas mergers and acquisitions of China’s commercial banks, combing the mergers and acquisitions course, looking for mergers and acquisitions motivation, summarizing mergers and acquisitions characteristics, analyzing the influencing factors. Then, we will overview scholars’ studying method and model in the performance evaluation of banking mergers and acquisitions. It is emphasis too much on the level of profitability of the banks in the previous method, while ignoring the risk control and the continued viability. Therefore, the article establish of a new model to take into account the liquidity, safety and efficiency of commercial banks in China to evaluate the mergers and acquisitions performance. Through performance studies, put forward some suggestions for China’s commercial banks to improve the performance of overseas mergers and acquisitions.
