Based On The Stakeholder Perspective Of Coal Corporate Governance Structure Under The Influence Of Corporate Social Responsibility

Along with the social economic development increasingly dynamic and stakeholdersincreasingly potential change,Enterprise in order to fierce competition in the market environment forsustainable development, we must consciously assume social responsibility, in order to make theenterprise value in the market get approved at the same time we constantly get appreciation, at thesame time, the enterprise value maximization also cannot leave the effective corporate governance,corporate governance and corporate social responsibility has become in recent years research on twobig hot topic.Stakeholder theory for enterprise social responsibility research provides a theoretical basis andempirical testing method, and good corporate governance is helpful to protect the interests ofstakeholders, promote the enterprise should undertake the social responsibility, obviously,stakeholders, corporate governance and corporate social responsibility between the close logicalrelationship.The coal industry is the important foundation energy industry, promote social andeconomic development is the important power, but due to the particularity of the industry, the bearsocial responsibility than any other industry more heavy, and frequent in recent years ofenvironmental pollution and the ore difficult events such as coal, corporate social responsibility, somuch attention has been paid to the urgent need to improve coal by the listed company level ofmanagement to regulate the behavior, improve the quality of the company, and eventually make coallisted companies should undertake the social responsibility.This paper firstly reviewed at home and abroad, and constructs the research thinking framework;Secondly analyzes the present situation of China’s coal listed companies; Then, the theoreticalanalysis of China’s coal listed company governance structure on the influence of social responsibility,and put forward the research hypothesis; Again, this paper selects2007-2011China’s Shanghai andshenzhen A shares listed company with coal CaiXuanYe coal for the main business of the company assample, the empirical analysis of the ownership structure, the board of directors and managersincentive structure on the influence of the social responsibility of the company; At last, according tothe empirical analysis results and combined with our country’s coal structure of governance of listedcompany present situation, proposed the improvement of corporate governance structure, promotethe listed company to better fulfill our social responsibility countermeasures and Suggestions.
