Nowadays, as economic competition between countries and regions becomes more and more fierce, almost all the countries begin to attach increasingly greater importance to the promotion of the competitiveness of their own companies and enterprises. The competitiveness is not only dependent on the development of the professional manager markets, the protection of the legal rights of the interested persons and groups, as well as the improvement of the capital market, but more on the refinement and effectiveness of the corporate governance structure which is significant for the structural balance and efficient governance of the whole company.This thesis starts from checks and balances of corporate governance structure, then points at the significance of decentralized powers of all departments during their establishment and development. Companies can yield twice the result with half the effort and achieve their business purposes when they have a clearer distinction of responsibilities between different departments and a more scientific management system.Since the Law of Japanese companies were put into effect in2005, the flexibility of their governance structures has been a great interest to the academia, who further gave us detailed explanations. We can learn a lot from Japan in terms of the corporate governance structure and managerial means. This thesis begins with the comparison of the rules on managerial structures between the Chinese and Japanese companies, having a discussion on how to deal with problems occurred in the new situation, in order to achieve better management of our Chinese companies.This thesis can be divided into four parts:(1) the outline:basically introducing the concept, formation, development, function and the principles of corporate governance structure;(2) analyzing the set-up, responsibilities, rights, functions, checks and balances of all departments within a company under the Law of Japanese Companies;(3) analyzing the rights and responsibilities of the departments of our Chinese companies, comparing functions of the departments of the two countries, and emphasizing the demerits and those which need to be improved;(4) analyzing functions of governance and supervision of the board of directors based on the centralization of board of directors, which would give rise to the development tendency of corporate governance structure; this tendency would offer us invaluable experiences of optimizing our Chinese companies’governance structure basing on a deeper thought on the advantages of that of the Japanese.
