With the development of modern enterprise system, as a kind of alienation about theseparation principle of management and ownership in modern in companies, the company’sgovernance has become more and more important, and company government has been aprofessional skills. So the executive with expertise and management skills has come intobeing. The system of manager’s power is the core of the manager system, and has veryimportant position in the company law. However, with the improving of manager’s position ofcompany constantly, the manager’s power abuse also highlighted increasingly. In practice, forlack effective restraint to manger power,the company’s manager has already infringed thecompany and shareholders’ interests seriously, so it is necessary to research the system ofcompany manager’s power.At first, this article investigates the system of company manager, by studying of thedefinition, legal status of the manager and the relationship of manager and internal relatedsubjects to determine the nature of the manager power and its characteristics. Nextinvestigates the scope and limitation of company manager’s power, analyzes the scope ofmanager’s power and how to limit it. Finally, through the analysis of the current situationabout the company manager power of our country, puts forward to the shortcomings of ourcountry’s manager power system, then proposes some suggestions in view of thisshortcomings.Besides the preface, this paper contains four parts, and the basic idea is as follows:The introduction mainly analyzes the “an ran events” and realized the necessary of thecompany government, then concluded the importance of the system of company manager inthe company management, and the urgency of the research about the company manager’spower.Part one is the basic theories of the company manager’s power. First this paper discussesthe manager’s concept, position and the relationship between the manager and the internalsubjects. Then discusses the manager power’s meaning, properties and features, point out thatthe manager is the auxiliary executive department of the company business witch is appointsby the company board and is responsible for the organization of the company’s daily management. He is the senior employees of the company and the owner of the company’score human capital. The corporation manager’s authority means that the manager enjoys thepower of managing the company, the rights of representing the company engaged in businessactivities and the qualification of representing the company in proceedings.Part two is about the content of the manager’s authority. Beyond the basis analysis of thelegislation and scholars of all countries, this paper mainly discusses the grant, scope, exerciseand termination about the company manager’s authority.Part three is the limitation of the company manager’s authority. This part mainlyanalyzes the reasons why limit the company manager’s authority, and the limitation in the twoimportant legal systems. Then it sums up three limitation forms about the company manager’sauthority, namely the restrictions on legislation, the company’s internal limitation and thelimitation of the position of manager.Part four is the company manager’s authority in our country. It discusses the valueorientation of the construction of the company manager’s authority system, then analysis theshortcomings of our company manager’s authority system, expounds the perfect measures toour company manager’s authority system, and put forward some suggestions.
