Research Of Information Disclosure System Of Chinese Listed Company

The legal system of listed companies’ information disclosure is the core of the securities’ market legalsystem, and also is the focus of the national securities legislation of all countries. As the implementingagencies and external representative bodies of the listed company, plays an important role in theinformation disclosure system of listed companies. Therefore，it’s very meaningful to analysis informationdisclosure system of Chinese listed company in perspective of the board fulfilling its socialresponsibility.This article is based on the previous research results of listed information disclosuresystem,using the analysis method of normative analysis, comparative analysis, summarized analysis tostudy relationship between the information disclosure and the board、corporate social responsibility,theproblems of the information disclosure system of listed companies in China as well as fulfillment of theobligation of information disclosure of foreign countries’ listed companies’board.Then give suggestions forthe improvement of information disclosure of listed companies in China in perspective of the boardfulfilling its social responsibility.The first chapter of this article describes the concept, characteristics, content and methods ofinformation disclosure of listed companies.Then analyze the central position of the Board of Directors onthe obligation of information disclosure of listed companies. The second chapter analyzes the problems ofthe board of listed companies in China fulfilling the obligations of information disclosure. Which mainincludes the problem of legislative and practical aspects.The third chapter mainly analyzes the law of boardin fulfilling the obligations of information disclosure of the United States and Japan, including analysis ofthe principles and content of the Board to fulfill information disclosure obligations.Then draw theenlightenment of information disclosure system of two countries to china.Baesd on the three chapters,thelast chapter gives suggestions about the structure of the Board and the information disclosed herein, themain responsibility information disclosure, illegal information disclosure, illegal information disclosurestandards and penalties for punishment in perspective of the board fulfilling its social responsibility.
