Therefore, the introduction of the independent director system in China is a useful attempt, we should unswervingly implement the independent director system and to modify and improve it according to the actual situation.In order to solve the problem of the independent director system in the implementation process of China, this article first expounded the value and role of the independent director system, then discusses the theoretical basis upon which to build and develop the independent director system, furthermore, through the example of the United States and Japan, introduced this system’s running effect, and tally up the institutional advantages to learning, finally, combined with our national conditions describes the system’s operational status and existing problems, on this basis, raised some legal advice and system idea, hope will help improve the independent director system.
