Research On The Legal Issue Of Private Equity

In recent years, as China’s sustained economic growth, the Chinese market has attractedglobal Private Equity Funds. In China, PE has been one of effective investment financingmeans, but it hasn`t been written into the law. Because of non-standard operation, theabsence of legislation and operation obstacles, interests of some rights holders can`t beguaranteed. By analyzing our country’s present legal system of PE，we make a conclusionthat China should establish the suitable legal system of PE for the situation of China. Thefirst part introduced the background and significance, research status, research ideas,research methods, etc. The second part, a summary of PE, mainly introduced the conceptand characteristics of PE, and compared with some confusing concepts in the distinction.The third part, talked about legal regulation problems about PE in China, and analyzed theshortcomings of current legislation from present development situation and the currentlegal system of PE. Part of the fourth, the legal regulation of experience of other countries,such as theUSA, Japan.Then we can learn from them. The fifth part, it is the core of thisarticle, the improvement of the legal regulating PE in China. This part is based on theanalysis of the legal system of our country at present stage, We should emphaticallyanalyze PE from organizational forms, investment subjects, exit mechanism, supervision,etc, further improve the existing system, in order to promote the development of PE betterin China.
