REITs as the introduction of a new financial instrument, can not only provide new investment channels for the public investors, but also help improving the real estate finance market. Researching on protecting the interests of REITs’ investors is good for promoting popularizing the new financial products in our country, It also beneficial to the sustainable development of China’s real estate market.This thesis is divided into three chapters:The first chapter is an introduction. The introduction is talking around raising the question and explaining the background of this paper. After summing up the background and significance of this study, it depicts the research status at home and abroad on the topic of this article. Then this article summarizes the possible innovation and deficiency.The second chapter points out the difficulties and disadvantages on protecting the interests of the real estate investment trust investors. The investors know very little knowledge on real estate investment trusts, so it is necessary make the investor gradually know the following essentials, the concept of real estate investment trusts and legal characteristics, the legal relationship between the parties, the difference between the Real Estate Investment Trusts and other financial products. In addition, because of several potential risk factor(including moral risks, the natural lack of Real Estate Investment Trusts, the shortage of relevant laws, etc.), it is necessary to protect the interests of the Real Estate Investment Trusts’ investors.The third chapter put forward countermeasures to protect the interests of investors. First, we need to strengthen education of investors. This part includes reasons and how to protect. Second, we need to conduct the parties’ behavior, mainly about the fund managers, the fund custodians and the fund holders’ meeting. Third, we need to establish a system of investor protection agency.
