With the improvement of science and modernization after the British IndustrialRevolution, Modern Enterprise System was gradually built on the principle ofseparating ownership from management, which is characterized by its mainenterprise organization. Modern Enterprise System originated from the UK,developed in the US and perfected in Japan. The idea and practice of scientificmanagement have been consulted and adopted by enterprises in many countries andregions so far. Employee Stock Ownership Plan (ESOP) originated from Americaand got great supports from all respects because it catered to self-interest. At present,specialists and scholars have achieved certain results and got a series of modes andapproaches in qualitative analysis and quantitative research to the Modern EnterpriseSystem.On the basis of research findings by predecessors, this paper aims to study themodern enterprise system reform of Harbin Cinema Equipment CO., LTD, and putsthe theories into practice to be a modern enterprise that has clear right and obligation,well-defined power and responsibility, separation of enterprise from administration,and scientific management. Enterprise restructuring positive and reliable, principle ofgradual, use direct restructuring "state-owned capital holding" mode. State-ownedenterprises reform is a worldwide problem. Only the modern enterprise system cansolve the problem of Chinese state-owned enterprises. Make use of the government’spolicy support on state owned enterprises to make arrangement of personnel and tofree the enterprises from performing social functions.This dissertation forecasts the development of enterprise restructuring plan andvision, that is the new company is a limited liability company which is based on theplan of mainly state stock ownership and employees stock ownership, to establish astrict corporate governance structure. The company should standardized operate,establish and improve the corporate governance structure; take the responsibilitystage by stage to get best efficiency of the shareholders, the board, the board of supervisor and the managers. Its main content are: property rights system andcorporate governance structure. The former is the foundation, and the latter is anecessary condition for enterprises to perform healthily, as well as the core content toconcretize enterprise system.Integrate the same business departments, make use of original holdingenterprises’ platform to attract the strategic invertors to enhance the capital andenlarge stocks, and with national publication of financial electronic equipmentmanufacturing and system construction industry belongs to encouraged category,make entrepreneurial version to be the listed companies. Combined with thestate-owned enterprise labor uniform, design the employee shareholding system,expound the established procedures of shareholding employee conference, madeclear the responsibility and duty of shareholding employee conference. The practiceof ESOP is the trend for state-owned enterprises to establish Modern EnterpriseSystem, and a significant measure to rely on the working class wholeheartedly aswell as further the reform of state-owned enterprises. This dissertation finelyforecasts the cost of reform, scientifically plans the sources of funds, reasonablydrafts out the use of capitals.
