China’s listed bank has its own characteristics, Most of the bank as the state-ownedholding company. The bank equit concentration significantly, Our country commercialbank’s board of directors is very vulnerable to the first big shareholders (government)influence, and the decision of the board of directors may cause with administrative color,unfavourable for the board of directors to make a decision, which is independent、in linewith the development of the company. Using empirical analysis method to study theperformance of the board of directors of the listed bank governance and relationship.The paper sorts through related literature about the board governance at home andabroad, for defining the relevant concepts about the governance of board of directors,according to the relevant theoretical basis, such as the principal agent theory andstakeholder theory, also the modern housekeeper theory, the listed bank’s board of directorsgovernance characteristics are analyzed theoretically, and are compared with those of theoverseas listed bank’s board of directors governance characteristics and analysis; After putforward the research ideas and research methods; Selected the14samples, from thedirectors, the proportion of independent directors, the top three directors, compensation,two posts concurrently hold the position of chairman and President, board annual meetingfrequency, etc, to study the governance characteristics impact on bank performance; Theempirical research results show that the two posts concurrently hold the position ofchairman and President, board annual meeting frequency and performance there is apositive correlation relationship; Proportion of independent directors, three directors beforethere is negative relationship, compensation and performance. And other characteristicsimpact on performance is not significant. Finally, proposed further play to the role ofindependent directors, chairman and President in the true sense of responsibility, improvethe incentive mechanism countermeasures and Suggestions.The research achievements of this paper, this is expected to provide useful referencefor China’s listed bank’s board of directors governance, to improve the level of the board ofdirectors of the listed bank governance provide reference Suggestions.
