The corporate governance in china began to rise in the1980s. China’s corporategovernance main draw on the mode of corporate governance in the United States on the basisof the Chinese characteristics. But the situation which does not adapt to the Chinese appearsin the process of learning and the introduction of foreign corporate governance. So that ourcorporate governance cannot effectively play its due role. This article introduce the evolutionof Sino-US corporate governance which illustrate how the development of corporategovernance in the two countries by the impact of the cultural traditions, economicdevelopment, and the pattern of interests by analyzing the reason behind the system from thepoint of view of history. Eventually find the reason which cause Chinese corporategovernance lacking of Acclimatization, so that China’s corporate governance to betterdevelopment.It concluded as follows by comparison of corporate governance in China and the UnitedStates:1Sino-US corporate governance evolved through different evolutionary paths.American corporate governance is the cumulative product of historical development,which gone through a long process of evolution, as well as the game betweendifferent interest groups. At the same time it has the characteristics of certain pathdependence. The evolution of corporate governance in China is mainly derived fromthe transplantation of the system as well as the role of administrative.2Many Chinese systems transplanted from the United States are difficult to play thedesired effect due to the absence of such external environment to be able to play arole.3We can promote the China’s corporate governance through the improvement ofinternal and external mechanisms.
