The difficulty of financing for medium-sized and small enterprises is to become an important factor affecting the development of them. Solving this problem could mobilize the inventory fully and take up a lot of money, at the same time, revitalize the medium-sized and small enterprises funding stream. With the intensification of competition in the banking sector and the rise of the logistics industry, speeding up the tripartite fusion to conduct a joint logistics financial services become a better way to solve the financing difficulties of medium-sized and small enterprises. At the same time, this way will improve the profits of bank and logistics companies.Through the establishment of the pledge rate mode, study for inventory pledge rate in logistics finance based on uniform credit mode. Firstly, looking from both retailers and logistics companies, and analyzing the risk of default respectively, in addition, calculating their expected profit function. Afterwards, calculate theirs the optimal strategy from their respective points of view:the retailer’s optimal ordering decisions and logistics companies’ pledge rate decision-making. Lastly, do the numerical experiments to verify the above model.The research results show two aspects conclusion:as to retailers, the initial inventory of large retailers was less affected by the loan limit; if the initial inventory is in the small degree, then the influence by the loan limit maybe further. As to the logistics company, the smaller the pledge rate on the retailer’s decision, the greater the impact to retailer’s decision; the higher of pledge rate, the greater at the risk of its commitments. Meanwhile, the logistics company’s decision-making is influenced by the level of risk control.
