In the western big development and Western opening under the big background,construction of infrastructure of Xinjiang has dense started, to the boundary of cemententerprises formed a short-term and long-term double favorable, so that Xinjiang cementindustry leaping development opportunity period. The cement is the dominant industry ofXinjiang building materials industry, gross value of industrial output occupies the buildingmaterials industry in35%, by the end of2010, there were altogether88cement enterprises,the total assets of22100000000yuan, has all kinds of cement production line119, theproduction capacity of35000000tons. Ng Building Materials Group on cement is dominant,set of coal, electricity, chemical industry, transport, plastic products, mining and energydevelopment, commodity concrete, new building materials, mechanical and electricalinstallation, casting, infrastructure, real estate development, international trade logistics andother industries as one of the Corps group, as the Xinjiang production and Construction Corpsbuilding materials enterprises, total assets of more than2300000000yuan, cement productioncapacity ranked Xinjiang the top three, cement enterprises as its subsidiaries, mainly in Yili,Tacheng, Aletai, bole, Kuitun and Hami area. Ng of group of building materials from theprevious small enterprises have entered the ranks of large enterprise groups, the previouscontrol mode has already can’t adapt to the development of the group, subsidiary of controlhas exposed many problems, faced to the upcoming industry competition, Ng buildingmaterials group is necessary to control share company management pattern optimizationstudy. On the enterprise group management control mode, means to conduct research, explorethe parent-subsidiary management control mode has great theoretical and practicalsignificance to optimize countermeasure.In this paper, based on Chen Zhijun’s parent-subsidiary corporate control theory, theintegrated use of literature study, comparative study, case analysis and other methods, the Nggroup control mode current situation and company management current situation undertookan analysis, reach groups in the control mode, control, corporation governance and otherproblems.Through analysis of this paper that, Ng group should give priority to with administrativecontrol mode (relative centralization), to the company management, dministrativemanagement model for complementary control mode (relative decentralization)transformation. At the same time, according to the new management pattern to diversify themanagement control means, adjust function positioning, perfect parent company parentcompany legal person governance structure and other measures, improve the effect andefficiency of the management and control of parent-subsidiary company.
