Study Of Investor Relations Management Practice In Multi-Location Listed Company

With the development of economic integration, globalization of finance and internationalization strategy of Chinese company, more and more Chinese companies have listed in China and Hongkong, even in more overseas stock exchanges. At present, the work of investor relations management is being challenged the face of rigorous regulatory laws and regulations at different listed location, diversification of communication of information and increasing need for timeliness of information, which posed a new task for multi location listed company over how to carry out the work of investor relations management and how to achieve its strategic function on the premise of regulatory compliance.In this thesis, the author reviewed the historic involution, basic concept and research theory and achievements of investor relations management, came to the finding that there still remains blank in the research field of practice of investor relations management at multi location listed company. At the same time, from the perspective of listed company, the definition of investor relations management is that it is a management activity by which the listed company can facilitate capital operation and implement company’s overall development strategy by communication with investors and potential investors through information disclosures and exchanges, In term of activity, Investor Relations Management is that listed companies disclose information against capital market (especially voluntary/initiative disclosure) and two way communication. In term of object, investor relation management includes compliance investor relation management and strategic investor relation management.Yanzhou coal mining Co.,Ltd.(Yanzhou coal) is an international energy enterprise specialized in coal mining and deep processing of and comprehensive utilization of coal. It was exclusively launched by Yankuang Group in1997and listed in New York, Hongkong and Shanghai in1998. In June2012, Yanzhou coal Australia Co.,Ltd., controlled by Yanzhou coal, was listed in Australia stock market, making Yanzhou coal the only Chinese company who listed in four different locations, both domestic and overseas. Yanzhou coal is the most internationalized coal mining company in China. Yanzhou coal has gained reputation and approval from domestic and overseas capital market and regulators upon its normative company governance, information disclosure and excellent investor relations management. Through analysis of the system,mechanism and practice features of Yanzhou coal, this thesis revealed in depth the difficulties and challenges faced by Yanzhou coal, and how to carry out compliance investor relations management and actively implement strategic investor in the face of tighter regulation and an era of internet.By analysis of principal contradiction and development trend confronted with Yanzhou coal, this thesis comes to the conclusion that. The key to cope with future "compliance IRM" should be through optimization of internal information transmission mechanism、preparation of targeted communication pre-arranged planning、increasing investment on the training of comprehensive quality of employee. Based on the gains and pains of Yanzhou coal’s experiences, this thesis arrived at a general model for the work of investor relations management at multi-location listed company:practical operation in term of strategic planning, mechanism-building standard operation, talent cultivation, which elevated this thesis from case study to conclusion in general theory and provide intuitional and operational reference for the work of investor relations management at domestic listed companies and internationally listed companies(A share+H share).
