During "Twelfth Five Year Plan" period (2011-2015), is the important time for fully well developing well-off society. This term’s mainline is deepening Chinese economic reform, and accelerating transformation of the mode of economic development. Entrepreneurs are the main economic body of the marketing, and those medium-sized and small enterprises occupy the important status in our country’s marketing economy. How to advance the transformation and upgrading of medium-sized and small enterprises, in order to help these medium-sized and small enterprises adapt to the transforming of economic style, the change of marketing demands, and the adjustment of industrial structure, which is an urgently to be solved realistic problem.The aim of this article is to find out the key point, so that can enhance the rate of success for the transformation and upgrading of medium-sized and small enterprises in our country. This article uses comparative analysis, sampling survey method, and modeling method of demonstration, and use the knowledge management, organizational behavior, logic, technology innovation, game theory, strategy management, etc., in the domestic and international nature of business, and entrepreneurial research, and through observation and analysis on the characteristics of these medium-sized and small enterprises in China, summarizing some necessary conditions and factors of the transformation and upgrading of small and medium-sized enterprises, and the research demonstrates the relationship studies between entrepreneurs’concepts and the transformation and upgrading of medium-sized and small enterprises, also demonstrates why the entrepreneurs’concepts are influenced by the environmental factors, and the innovation of entrepreneurs’conceptsneed to choose what environmental factors. At last, this article takes YZ company and GW company as examples, and does case studies for this paper.The final research finds that the entrepreneurs’concepts are the survival and development of small and medium-sized enterprises based on the path choice, and influenced by environmental factors. The innovation of concepts is the key for transformation and upgrading of small and medium-sized enterprises. In order to transformation and upgrading, entrepreneurs must firstly find a good environment, such as the practical learning, find helpful contacts circles, pay attention to the information and policy dynamics. A good environment, can promote the entrepreneurial ideas from the management concept, development strategy, resource allocation, the concept of social responsibility and other aspects of innovation, guiding and leading the enterprises to achieve operational management optimization, strategy planning, the core competitiveness of sublimation, and corporate social interaction, so as to overall achieve the transformation and upgrading for enterprises.
