With the support of all the enterprises’rapid growth, Chinese economy has gained extraordinary achievement during thirty years’ reform and opening up. Merger and Acquisition (M&A), one significant sign of Chinese economy, has become an important means for Chinese enterprises to meet the competition of global market with the deep-going reform. Based on Chinese macro-economic background and deep understanding of the law of economic development, M&A of Yanchang petroleum mining company (YPMC) of Yanchang petroleum group (the first large state-owned enterprises of Shaanxi province) and Northern Shaanxi semi-coke enterprises was selected as a research object. Firstly, the research background and the theory of M&A were summarized by the documents; Secondly, the current situation and performance of YPMC’s M&A to semi-coke enterprise in Northern Shaanxi since its operation in two years were analyzed by means of questionnaires and conversaziones, and the main reason why it hasn’t achieved the desired objectives were summed up as:inadequate communication, uncompleted organization, no-scientific management and mismanaged financial management。On the above problems, the author put forward a multi pronged, various measures systematic and comprehensive integration scheme, in which cultural integration is the leading mean, organization and human resources integration are guarantee, financial integration is the key。More than half a year after operation to implement tracking, we find the integration were becoming effective gradually, it indicates that the integration plays an important role in M&A, and that the strategic decision to extend the PLMC with semi-coke enterprises M&A is correct, the integration must continue to push.
