State-owned enterprises has a special status in our country, research on state-owned enterprises, or more controversy. But generally speaking, the state-owned enterprises made outstanding contributions to the establishment of China’s industrial base, economic and social development, in the implementation of the national strategy of "going out" in the process of undertaking the important historical mission. The operation effect of state-owned enterprises is directly related to the effective implementation of the strategy of "going out", also related to the vital interests of the nation. China’s state-owned oil companies of foreign direct investment, the national economy and the enterprise itself to the world economy has important meaning. However, how to improve the efficiency of Chinese oil companies of foreign direct investment, China’s state-owned oil companies to resolve the major issues of the foreign direct investment. Therefore, further study of how to improve the effect of foreign direct investment in the state-owned enterprise, especially how to improve the effect of state-owned oil companies on FDI has important theoretical and practical significance.This paper mainly consists of six parts, the first part introduces the background and significance of writing, the literature review of the study, the article content framework and innovation and deficiency. The second part is the theory review, research the current international direct investment theory.The third part is the state-owned enterprises, foreign investment situation, mainly studies the state-owned enterprises of foreign investment, regional distribution, industry selection, management benefit, risk control. The fourth part studies the development course of CNOOC, choice of investment mode, regional distribution, industry, management benefit and risk management. The fifth part is based on the previous research puts forward Suggestions for China’s state-owned enterprises of foreign direct investment in China. The sixth is divided into the conclusion of the article, the article made a brief summary.
