There are many schools in the Spring and Autumn Period and Warring Stare Period, and Legalism is one of them. It’s important to research legalism if we want to inherit and develop Chinese traditional culture. In Hanfei’s opinion, “Confucianism can be divided into eight kinds, and Mohist school can be divided into three kinds.” So we can see that legalism should also have different schools, which is similar to the two traditional schools. We can divide it into Fa, Shi and Shu based on their different opinions; according to the feature of different regions, it can be also divided into Qi legalism and Sanjin legalism. There are few research on Qi legalism among the recent studies, they mainly do some research on Qinjin legalism. Besides, among the existing research results, most scholars more tend to the cross-sectional study, that is the contrast research between Qi legalism and Qin Jin legalism, and the study of longitudinal development on Qi legalism is very less. As a matter of fact, Qi legalism is very important as a part of legalism.This paper takes words and deeds of Guanzhong as the starting point, the author tries to find out the beginning and the development of Qi legalism by researching the Guanzi, in order to summarize its features and to clarify the development venation. In addition, by learning Mandarin and Zuo Zhuan to summarize that the rising of Qi legalism is closely related to the thoughts of Guanzhong and Yanying, and they can be regarded as the pioneers of Qi legalism. Finally, by studying Guanzi to explode the its development. Many historians believes that Qi Legalism exists no longer with the disappearance of Jixia Academy. The author of this paper thinks that Qi Legalists didn’t disappear although Qi was destroyed by the Qin Dynasty and Jixia Academy was ruined. The fact is that Qin Dynasty adopted the thoughts of Sanjin legalism after the Qin Dynasty unified the six countries. And then Guanzi was well known in the world for the thoughts of Qi Legalism. Although Qin Dynasty unified six countries, it adopted harsh punishment which is advocated by Qin and Jin Legalism, the people are tired of this harsh punishment, which lead to perishment. The early Han dynasty learned the lesson of the Qin Dynasty destruction, it used the Huang-Lao Taoism as its thought of administering a country. There is no doubt that the Han dynasty rulers drew lessons from Guanzi. In the early Han, the rulers adopted Huang Lao thought which is based on Qi legalism. Therefore, Qi legalism began with Guanzhong and Yanying thoughts and developed with the aid of Guanzi. At last, Qi legalism formed in Jixia Academy.
