| The development of Jiangsu state-owned culture enterprises has experienced a transition from planned economy to market economy. Especially since 2003 when the cultural system reform started, it has gone through three development stages, which are government-affiliated institutions to enterprises, the joint-stock reform, and the financing market. With the further reform of state-owned asset management system and the continuous improvement of the market economy system, the reform of state owned enterprises have achieved great development. Jiangsu state-owned cultural enterprises not only undertake the economic responsibility for the preservation of state-owned cultural assets, but also take the duty of leading the society and promoting the socialist core values of social responsibility. With the development of market economy, establishing a modern enterprise system has become one of the main goals of the development of state-owned enterprise of our country. The amendment of the "company law" puts forward higher requirements for the establishment of modern enterprise system and the improvement of the corporate governance structure of state-owned enterprises. However, in the view of the development history, the state-owned culture enterprises in our province have a special background and many institutional factors. In recent years, with the reform deepening of the state-owned enterprises, some problems existing in the governance of state-owned enterprises have been revealed, restricting the development of state-owned cultural enterprises in our province.In this paper, with the provincial cultural enterprises F Company as an example, the concept comparison of the state-owned culture enterprises and the common state-owned enterprises are analyzed. Then the corporate governance structure is put forward and taken into the framework of theoretical research. The corporate governance structure of the cultural enterprises at home and abroad are introduced, the research methods for this paper are summarized. Based on the comprehensively introduction to Jiangsu state-owned cultural enterprise development level and the current situation of the corporate governance structure of the company, the F development history, location and current situation of the corporate governance structure are specially focused on,and puts forward the innovation of the occupation manager CEO system and straighten out the Party committee and the board of directors. The sixth chapter summarized the research prospects. |
