A Study On Contingency Choice Of Internal Supervisory Mechanism Of Corporation

Along with the practice of corporate governance changing rapidly, the study of internal supervisory mechanism of corporations should be continuous. At present, the practical status of internal supervisory mechanism of corporations clearly indicates that this problem should be deeply studied, so as to leading the internal supervisory mechanism of corporations to get out of the current dilemma. For this reason, it is of great guiding value to set the internal supervisory mechanism of corporations as the object of study to the practice of corporate governance. Based on the previous studies, this thesis comes up with the new idea of contingency choice for corporate internal supervisory mechanism by drawing lessons from the contingency theory in management, hoping to reconstruct the current internal supervisory mechanism to get it out of trouble.After putting forward the new idea of contingency choice, this thesis comprehensively use the research method of law and management to analyze the necessity of contingency choice for internal supervisory mechanism from4different points:solve the institutional conflicts in listed corporations, fit the different characteristics of different corporations, work in with the development of corporate governance and promote the economic reform in domestic market. After this work, it makes an in-depth analysis for the feasibility of contingency choice from theoretical and practical aspects. Based on the analysis for the necessity and feasibility of contingence choice, it comes up with the conception for the operation of contingence choice. At last, according to different standards, this thesis divides corporations into different categories and puts forward the ideas and suggestions for the contingency choice of different corporations.
