Study On Corporate Resolution Defect Litigation

Corporate resolution is a kind of resolution made by corporate internal organizations about corporate affairs. Generally speaking, corporate resolution can be divided into three parts. In view of significance of corporate resolution for corporation’s internal and external activities, in article22,《Corporate Law of Peoples Republic of China》 legislated corporate resolution defect litigation which is used to restrict defective corporate resolution and give some judicial remedies for shareholders and related bodies. But 《Corporate Law》 has only constructed corporate resolution defect litigation remedy system integrally. Compared with other countries Corporate Law, China’s corporate resolution defect litigation has some disadvantages and need to complete ulteriorly to meet juridical practice’s demand. This paper, on one hand, studied corporate resolution defect litigation systematically; on the other hand, summarized existed problems in juridical practice. In the end, this paper gave some pointed suggestions.
