Since chain business initially appeared in the United States, it has a rapid development in a short period of time in more and more countries world widely. Thanks to its large-scale,low-cost,intelligent way of business expansion, chain business has shown its strong vitality over the last decades. After the mode chain business pattern was first used in China in the middle of the 1980 s, it then developed and eventually influenced Chinese business model with its unsurpassable advantages. However,as an advanced business model, it has only been researched by Chinese scholars from economics and management aspects only. Therefore,it is momentous for us to research in the theory of chain store operation from the legal aspect. As the dominant forms of modern retailing, Chain management has standardization, unity, organizational characteristics. In the increasingly competitive market,a strong chain which relies on its unique economic advantage,restrictions on freedom of other business. In summary, it has important theoretical value and practical significance to limit competition behavior effectively in the chain operation.This paper is divided into five chapters altogether: introduction, types and features of restrictive activities on chain business competition, the lack of legal supervision on this matter domestically, experiences and lessons learnt from foreign countries and future improvements on Chinese legal system. Based on the analysis of those legal regulations, following suggestions have brought up: clear definition of competition-restricting activities based on certain property rights, reinforcement of methods and approaches on regulating those activities, perfection of the local law system. By doing these and hence creating a fair competitive market environment.
