Enterprise, as the most active parts of the market economy, has made a great contribution to the economic development of the countries. While at the same time, we can not only find it has the good aspect on the market promote, but also can not be ignored its damage to the environment. Laws and jurisprudences refracted in real life, actively respond to various issues and conflicts and provide its solutions or approaches, is its meaning and value that why its existence. Objectively reflect the contradictions, development and social changes, is the premise of it to maintain it vitality. Therefore, we need to seriously study and explore the theory of law which should focus on the " problem of consciousness" as a guide for environmental liability for companies.This paper is divided into four parts:The first part describes the concept of corporate environmental responsibility. The concept is the smallest unit of study law, but it is the most basic form of the basis. A clear concept of corporate environmental responsibility will help us to better analyze the content of corporate environmental responsibility and boundaries, and combined with our country current situation and development trend, given accurate positioning environmental responsibility that the enterprise should be bear.The second part, demonstration the theoretical basis of environmental responsibility and development the enter prices should be bear. Generally, academia is believed that the emergence and development of corporate environmental responsibility, is founded on the theoretical study of corporate social responsibility, the latter provides the former necessary theoretical basis. Therefore, this section will focus on corporate social responsibility described and summarized the values and the evolution of the human environment under environmental law, in order to enable the reader to better understand the significance of corporate environmental responsibility and necessity. This part main at analyze and develop the theoretical basis of the corporate social responsibility, which make summarize to the corporate environmental responsibility in the connotation and denotation aspects.The third part, given some suggestions on how to let enterprises to better undertake environmental issues could better build and improve the legal system of China’s enterprises to fulfill their environmental responsibility. Construction of the legal system is to solve practical difficulties and problems. To implement corporate environmental responsibility, our government must establish a legal system with a practical nature, not only need to focus on the future, but also must be based on the development of enterprises. Therefore, we must combine the reality of corporate environmental responsibility, and constantly enrich and improve corporate environmental responsibility theory.The forth part is the analysis the problems of environmental responsibility under the special enterprises forms. So far the current jurisprudence thinks that special forms of enterprises mainly for businesses not finish to established forms(established form) and after termination of the enterprise form(form of bankruptcy). Research on the companies how to bear environmental responsibility issues under these two circumstance are the major focus of this article, to improve the environmental responsibility of the company should take from beginning to ending has important theoretical significance.
