Since the 1990’s, International acquisition become one of the most important ways of OFDI (outward foreign direct investment), and plays an irreplaceable role in the economic development of one country. Along with our country joining the WTO and improving our economic and comprehensive strength continually, the amount of Sino-enterprise(s) International acquisition activities is constantly rising. Since the "Tenth five-year plan" in 2001 formally put forward the strategy of "Going out", the international acquisitions of Sino-enterprise(s) are keeping developing and successful volume increased year by year. It provides more opportunities and space to Sino-enterprise(s), but we still need to focus on the risks. This article summarizes the current situation of Sino-enterprise(s) and combs the relevant concept of acquisition, mainly concerns about the Sino-enterprise(s) takes M&A in U.S., introduces U.S. laws and legal risks about M&A.This article is divided into five parts. The first part analyzes the current situation for Sino-enterprises acquisitions, mainly introduces the international acquisition current situation and characteristics. The third part concentrates on acquisition provisions in American laws. The fourth part concludes the acquisition process and acquisition documents the Sino-enterprise(s) should know when they take M&A in U.S. The fifth part analyses one case and the last part make a conclusion In writer’s opinion, enterprises should to strengthen the corporate governance; in addition, government should provide a good external environment.
