Sovereign Wealth Funds and National Security Review are both the focus of international investment in this century. The former is being widely focused for the government background and huge capital, and the latter is in critic for the wide and vague of the review. Although the abundance of the research separately, absence of the relationship of the both.National Security Review was firstly drafted in the U.S. and gradually developed to the special regulation of sovereign wealth funds. The National Security Review of China is followed by the U.S.in the status, scope, content, agency, procedure and operation, with the lack of special regulation to the Sovereign Wealth Funds.The reason for the National Security Review of China is the counterforce of the obstacles of the same regulation settled by the U.S. to the Chinese investment. Attempting to the better circumstances of foreign investment, the National Security Review of China has greater political concern than economics. In the future, however, especially influenced by a series of reform measures, the National Security Review of China should bypass the Foreign Investment Industries Catalogue and set up the special treatment to the Sovereign Wealth Funds.This essay includes body and conclusion, the body contains six chapters.Chapter One is the introduction to the Sovereign Wealth Funds, including concept, characteristic and the participant of the Merger & Acquisition,Chapter Two is the introduction to the status of the National Security Review in the foreign investment supervision system and the foundation of the review mechanism.Chapter Three is the introduction of the National Security Review of the U.S, including history and main content.Chapter Four is the introduction of the National Security Review of China, including history and main content.Chapter Five is the comparison study of the National Security Review of China and the U.S.Chapter Six is the recommendation of the National Security Review of China, including the establishment of “The National Security Review to The Foreign Mergers and Acquisitions”, the complement of the agency, more regulation to the Sovereign Wealth Funds and the improvement of the coherence of the review.
