As the Promulgation of the Guidance of the Inter-bank Bond Market, the SME’s collection notes have been officially started to operate, in 2009. As a new kind of financing tools, it supplied a new method for SMEs to gain financial support. During the six years, the SME’s collection notes have gained a booming development prospect. But there are many problems showed up too. Owing to the vague legal concept and legal nature, the system of the SME’s collection notes cannot established very well.The author has used many researching techniques, including theory analysis, literature analysis, comparison analysis and demonstration analysis. After the comprehensive introduction of the SME’s collection notes, the author hopes to make a contribution to the development of it.The thesis is consisted of five sections. They are introduction, four chapters of main bodies and peroration. The author describes the generating process of the SMEs’collection notes in the very first. And reform the legal concept of the SME’s collection notes. In the second chapter, after the comparison between the SME’s collection notes and the SME’s collection bond, short-term financial bill, mid-term note, the author summarizes the importance of the SME’s collection notes. In the third chapter, after the comparison of the Law of Bill among three different locations, the author concludes that China should set up the legal system of commercial notes. And then devises that the legal nature of SME’s collection note is one kind of commercial notes. The author also gives some supplementary ideas in the field of legislation, supervision system, procedure optimizing, and credit rating in the end of the thesis. The author tries to make the SME’s collection note’s system better, therefore to help the SMEs becoming stronger.
