The charity organization as a new force in modern society, plays a vital role in balancing the market failure and compensating government regulation ineffective ways. Charity’s service area is changing from the initial poverty relief to a variety of public interest now, such as education, health, science, environmental protection etc.. The speed of its development and the big scale reflects the development of Chinese economy and the higher performance of Chinese moral. In our country, the Red Cross, China poverty alleviation fund and so on ten big charity for charity in China have made great contribution to the China Charity Federation, alongside the famous charity, there are still a lot of grassroots charitable organizations in our country, they also can not be ignored as an important force in the development of charity in china.The rapid development of charitable organizations adapts to modern social development and needs of the object, but the quality of charitable organizations should be paid more attention. The charity organization is non-profit which decides their main source of income rely on social love people’s donation, financial support from the government and the organization income(not for profit). The middle organization which benefits people, is easy in the process of raising funds, because the social is not lack of caring people. However, if the integrity of charity organization is suspected once, then prestige to charitable organizations in the society will be severely shaken, which not only affect the healthy development of charity organization but also defeat greatly the enthusiasm to charity enthusiasm. This deviates from the original intention of the establishment of charitable organization completely. So it is necessary to study the constraint mechanism of charity organization, forming the complete operating mechanism inside and outside, guaranteeing the sound development of charity organization. In the studies of many constraint mechanisms, research on the obligation of the charity organization of senior management personnel can play a valuable role.The senior management personnel of charitable organizations is the main force of operation organization, which relationship with the running direction, the size of organization development process, etc... The duty of loyalty to the organization is one of the most important part in the negative obligations, for charitable organizations are non-profit organizations, all its income return all of the organization and are not assigned to the members of the organization, which easily leads to conflicts between personal interests and the collective interests of the organization, how to handle the value conflict between them is an important way to test advanced senior personnel duty of loyalty.The charity organization of modern meaning of our country starts late, the research of charitable organizations and charitable organizations in the field focus on the development history of organization, the relationship with the government, supervision mechanism, binding mechanism, but the researches on organization executive are seldom, which determines to research draws lessons from related fields inevitably so as to achieve the perfect research of charity organization’s executive obligations.The duty of loyalty to the charity organization of senior management personnel embody mainly on organizational career holding good attitude subjectively and in objective they do or not do something act. The specific contents include subjective duty of good faith; prohibiting encroachment organization property obligations; self dealing forbidden obligation; prohibiting profit-making activities and information-disclosure obligations. Through the study of the charity organization executive duty of loyalty and forming a complete loyalty duty regulation mechanism are important for the study of charity organization supervision, restriction mechanism. In order to research duty of loyalty of senior management personnel better, in addition to the introduction and conclusion part, the main content of this paper includes the following parts.The first part, the basic concept related to charitable organizations and regulation of value in the senior management personnel’s loyalty duty. In this part,some related concepts of executive duty of loyalty mainly are introduced. Through the analysis of similar concepts of charitable organizations and charitable organizations,which obtains the definition of charity organization of senior management personnel and then discusses the regulation charity executives loyalty duty regulation value, laying a theoretical foundation for the whole article.The second part, the theoretical basis of senior management personnel of loyalty duty. This part mainly uses the method of comparative analysis, it is first to analyze the theoretic basis of the duty of loyalty of the trustee and the company executives, and then study the Anglo American law system and continental law system of different opinions about the theoretical basis of the duty of loyalty, it is concluded that the theoretical basis of charity organization senior management staff loyalty obligation.The third part, the senior management staff loyalty obligation under different legal relations. This part is one of the focus of the article, which uses a large space to introduce the principal, nonprofit executives, corporate executives of loyalty duty content, to find the same points of these organizations and charitable organizations, the duty of loyalty content obtained preliminary charity executives.The fourth part, the rules and regulations about our country charity of the senior managers of loyalty duty in our country. As the last part of the article, the main content to the social situation in China, through the current situation of the regulation of charity organization in China executive analysis, find the problem, find out the question solution, so as to perfect the content of the regulation of executive duty of loyalty.
