As the frontier position and experimental field of China’s reform and opening up, Shenzhen Special Economic Zone has been taking the heavy responsibility of deepening the reform and exploring beforehand, and it Is also the vanguard of the reform of commercial registration system, which is of great study value. Centering on the status of Shenzhen commercial registration system, this article elaborates the theory of commercial registration, contrasts and analysis domestic and foreign commercial registration system, in order to discuss the existing problems and provide reasonable suggestions.This thesis is composed of four parts except the introduction, conclusion, references and acknowledgement.The first part is overview of commercial registration. This part elaborated the basic theory of commercial registration, combining the views of many scholars to give a proper definition of the concept of commercial registration, and emphatically demonstrated the commercial registration of private law nature and subject recognition function. The second part is the comparative analysis between the domestic and international commercial registration system. Through the analysis of similarities and differences by the domestic and foreign commercial registration system in the legislative mode, the registration authority, the compulsory degree, the main scope and the registration of the six aspects, provided references for the future of our commercial registration system. We should develop a single commercial registration law, to weaken the public law background of commercial registration authorities, to take the way of combining by compulsory registration and arbitrary to register for the merchants who conform to the standard of commercial subject, and simplify the registration matters. The third part is the present situation and problems of Shenzhen commercial registration system. This part introduced the current commercial registration practice operation of Shenzhen, reflected on the status quo, pointed out the problems existing in legislation, team building, false registration, follow-up supervision, individually-owned business registration of Shenzhen commercial registration system. The fourth part is the suggest to improve the commercial registration system in Shenzhen. In view of the problems existing in the Shenzhen commercial registration system, combined with commercial registration of the basic theory and foreign advanced practice, the author puts forward the suggest and reform direction for unified legislation, commercial registration officer system, enterprise credit system construction, strengthen in the supervision afterwards, cancel the registration of individually-owned business registration, also proposed to amend the name of "business license" in addition.
