Study On The Us National Security Review Of Foreign Investment And Advice To Deal With For Homeland Companys

This paper focuses on current US system of national security review of foreign investment,especially about considerations in the review,in thieory and practice. The purporse is to provide advice for homeland companys to deal with it when taking a merger or acquisition in the US.There are4 parts in the paper. The first one analyzes current situation of homeland companies mergering in the US. The second one introducing the set-up and development of CFIUS,including making revelant laws and regulations as well as reviewing process,where 3 stages may be taken.The third one introduces analyzes the detailed information of the rewiew,including regulatons,guidance,annual reports and cases,to figure out what is a covered transaction and the considerations when access the effects on national security. The last but not least are suggestions for homeland companys taking a merger or acquisition in the US.This is based on the situation in China and the US.
