In 2008, the global financial crisis has outbreak and deterioration, was widely seen as related to the excessive expansion of the shadow banking system. The shadow banking system plays an important role in develop financial market, and accelerate the innovation of financial products. At the same time, the highly leveraged and unregulated features of shadow banking system cause many problems such as regulatory arbitrage and systemic risk. The United S tates, European Union, the other countries and international organizations proposed the reform bill and policy guidance for the shadow banking system. Although there is a little impact from the financial crisis in our country, but with the continuous development of the shadow banking system business, the risk also is revealing gradually. Regulation of the shadow banking system is not only the attention of the countries all over the world, but also be inevitable in the financial development in China,that urgent problems must be solved.The shadow banking system is new, the international communities and regulators not have deep and specific understanding well, and its definition also debated. As a consequent, the legal nature of shadow banking system should be explicit, and there is a great significance for regulate shadow banking system and effective regulation about expounds the development origin and the influence on the financial system.This paper is divided into four chapters. The first chapter begins with the formation of the shadow banking system and concept, which leads to the domestic and foreign about the definition of the shadow banking system of representative. By comparing the points of the major institutions and scholars, and summarizes the view that was defined from different angles on the shadow banking system. The second chapter analysis the regulatory status of the shadow banking system, and points out problems existing in the current regulation. The third chapter introduces regulatory measures of the shadow banking system and its change process in other countries. The fourth chapter puts forward some views for the regulation of the shadow banking system in C hina from the aspect of legal system, and also puts forward regulatory proposals for the shadow banking system of Chinese in the future.
