With the reform and opening up, China’s state-owned enterprise restructuring,vigorously develop private enterprises, enterprises in the market environment andscale have undergone tremendous changes, while companies continue to grow anddevelop, the governance structure of Chinese enterprises also exposed somedrawbacks, Main performance for following several aspects:(1) The ownershipstructure is irrational, the same phenomenon is evident in the shares of different rights,the other equity is too concentrated and seriously affect the governance structure oflisted companies, restricting the development of enterprises;(2) the Board’s ownflaws settings, including unreasonable director structure and unsound function;(3) theBoard of Supervisors do not have the right to speak in the enterprise, supervisorysystem exists in name only;(4) Corporate incentive and restraint mechanism is notperfect;(5) corporate governance culture behind.The reason is related to the particularforms of socio-economic background and structure of China’s inseparable. In order tofacilitate indepth discussion of corporate governance, scholars and businessexecutives introduced the contract theory, but in our country, the combination of thetwo, but there are also a number of issues, including:(1) Research on contract theoryof limited theoretical level;(2) out of the track of Chinese enterprises;(3) tostakeholder theory as the representative of contract theory was applied in thecorporate governance is not yet mature. Ultimately, in addition to our special socialcontract theory background and their own shortcomings, Our researchers andmanagers of enterprises did not find a approach which suitable Chinese enterprisesand it will made the outcome of the actual contract theory is applied to study thestructure of corporate governance.This article from the enterprise internal characteristics and responsibilities ofvarious contracts, the contract relationship within an enterprise is divided into severallevels, clarify the nature and characteristics of different levels contract and the link between each other, from the Angle of contract level of corporate governancestructure of the targeted optimization. This paper mainly divided into the followingseveral parts.The first part is introduction, introduce the research background and significance,research contents and research methods, such as the innovation of the paper. Thesecond part mainly introduces the related support theory, including the concept ofcorporate governance structure and contract theory, etc. The third part studies thepresent situation and problems of the corporate governance structure and contracttheory in the problems and causes of corporate governance structure in the application.The fourth part is about the design of the governance structure of enterprise levelcontract and corporate governance structure optimization algorithm based onhierarchy contract. The fifth part is the empirical analysis, in view of gome electricalappliances enterprise governance structure problems existed in application levelcontract optimization. Finally, this research summarizes the conclusions of the studyand outlook the follow-up studies.In this paper, combined with the actual situation of our country enterprise andenterprise level is required the design of the contract, contractual relationship withinthe enterprise is divided into three levels, respectively is the design of the generalmeeting of shareholders, the board of directors and board of supervisors of the firstlevel contract; Design management personnel and grass-roots staff at the second levelof contract; The third level of implicit contracts involving corporate culture andcontract. On the basis of optimizing corporate governance structure, based on the firstlevel of ownership and supervision arrangements; Based on the second level ofcontract management and executive power; Based on the third level contract of theenterprise culture construction; Finally it is concluded that the optimization tactics ofthe corporate governance structure: improve the structure and function of the firstcontract level of the subject; and optimization of enterprise second contract level;improve the first contract level and second levels of responsibility transfer contract;pay attention to third contract level. And through the empirical analysis to corporategovernance structure optimization strategy based on hierarchical contract is applied to the enterprise actual, verify the feasibility of the conclusion.
