| With the fast economic globalization, the competition among enterprises becomemore and more intense, and it puts forward the new request to the theory of enterprisemanagement, in order to gain great competitive advantage in the fierce competition.As a result the enterprise value-based management theory emerged, indicating a newdirection for the management of the enterprise. But there are many questions aboutthe enterprise value-based management theory and the urgent need for the enterprisevalue-based management theory improvement.Researching on value-based management focuses on the framework ofvalue-based management, value evaluation, value driven factors, and the value-basedmanagement focuses on the optimization and reengineering of enterprise internaloperation, but we can not do much more about the optimization and reengineering ofenterprise internal operation. My study uses various normative methods, includingdeductive inference method and inductive inference method.Study on the basic problems of value-based management is the framework of thevalue–based management mechanism, including the objective of value-basedmanagement, value evaluation, value driven factors and value-based managementmodel innovation etc. The author puts forward the basic objective of the targetenterprise value-based management of realizing the maximum internal stakeholdersvalue; Get the internal stakeholders value and the value index to evaluate theenterprise value and the level of value added by discounting cash flow method; Getthe value driven factors from the transaction between the enterprise and externalstakeholders, in order to increase the value of enterprises; Get the driving force, pathand conditions of value management model; Realizing the value management modelrequires the participation of enterprises and external stakeholders, exploring the valuesharing mechanism among participating subjects. The main external stakeholders includes suppliers, customers and banks in mystudy, exploring value management model innovation from the enterprise andsuppliers, the enterprise and customers, the enterprise and banks, value chain, valuechain and banks. Use valuation equation to evaluate the value added from enterprisesand external stakeholders, and chose external stakeholders to participate in theoperation of value management model, and explore the value sharing mechanism andthe collaborative management mechanism.Explore the value management model innovation from the external stakeholdersin my paper, and break the limitations of value management within the enterprises.Make the framework of the value–based management mechanism and put forwardthe value management model innovation. |
