The Study On The Layered Management Pattern Of Corporate Finance

The idea of Layered Theory is that delaminating of the system is the best way to reduce the complexity and enhance the efficiency of system. Because of the idea ofLayered Theory can make the complicated system manage and realize easily, it was introduced in many discipline. With our country’s economy uninterrupted growth, the demand of constituting of modern corporate system that its ownership and the right of management are apart, the management of corporate finance displays complexity and variety. The factor of man in financial management is more and more important to its efficiency. But traditional financial theory only plays attention to the account of capital-circle, and neglects the interest balance between financial stakeholders. So we need introduce Layered Theory into the financial management in corporations, and constitute a systematic and layered financial governance system, in order to increase the flexibility and efficiency of financial management system.Constituting the layered management pattern corporate finance includes the design of the governance structure and the governance mechanism on corporate finance. To design the governance structure on corporate finance, the first step is divide the financial Stakeholders into stockholders’ finance and corporate finance in term of the relationship of financial right and property right and the duality of the financial main body. Second step is to divide each financial main body into some layers. So there is formed a governance structure on corporate finance which includes two main bodies and five layers. The internal and external environments which affect to corporation are changed continually..So when a corporation chooses its governance mechanism on corporate finance should adopt the idea of dynamic governance. The thesis designed a corresponding governance mechanism on corporate finance for layered management of corporate finance by analysis the internal and external environment of corporate financial governance in present stage in our country.
