With the development of economic globalization, Chinese enterprise transnational merger and acquisition activity attracted worldwide attention. China is now developing as one of the fastest growing economies, since after joining WTO, both to the current place among the world competition, but also to theirown efforts to develop domestic enterprises, China’s enterprises to actively implement cross-border mergers and acquisitions measures in order to better respond to the challenges from around the world in the same industry enterprises. Infact, the company’s cross-border mergers and acquisitions in order to expand the market to globalization, rapid access to advanced technology, an importantway to achieve excellent resource share. However, cross-border M&A businessis a "double-edged sword," transnational merger of Chinese enterprises in general is an important market-oriented business practices, opportunities and riskscoexist, lurking behind the high gain huge risk. M is a set of talent, technology, management and marketing as one of the dynamic asset, but also faces many of the external environment, such as changes in the political, economic, cultural and legal impact of these changes to the deal brings stealth unpredictablerisks, These risks are in the preparation period of mergers and acquisitions, and the integration of the trading period at any time, restrict the process and theeffect of acquisitions, mergers and acquisitions often the main factors leadingto failure.This paper analyzes and historical data analysis through a typical case, proposed corporate mergers and acquisitions in the preparation period, the wholeprocess of trading period and the integration period, the companies should find timely risk and risk assessment, risk prevention system established in advance, prudent strict control, and ultimately achieve the purpose of risk preventionin time, thereby reducing the acquisition errors. In addition to the Chinese government in their enterprises to carry out overseas mergers and acquisitions acti vity in the global information services should provide support and policy recommendations.
