As the role of board of directors is more and more important in corporate governance,it has become one of the most useful tools which coordinate the relationship between shareholders,board of directors and managers used recently. The board of directors diversify is a totally new but popular research field. And the board diversity is valued by many entrepreneurs and many entrepreneurs. The women’s participating in the board of directors governance also belongs to the board diversities. Their participating in the board of directors governance can influence the decision of the board and influence the company’s performance eventually.The researches on the effect of women participate in company governance are not mature at all.What’s more, the studies of women directors’ participation in corporate governance concentrate on industries except banks. We consider the characters of banks, like the economic function of commercial Banks and their special monetary operation roles, the characters make it significantly different from other industries in the corporate governance issues, so the past scholars research conclusion which formed in the commercial bank also need further verification.The paper depends on the past research literature about women directors and the related theory of corporate governance of commercial bank, combines with the particularity of the corporate governance of commercial bank, and based on the stakeholder theory, the differences of human capital theory and the competitive discrimination theory to analyzes the mechanism of how women directors influences the performance of commercial bank, which provides the theoretical foundation for the research of this paper. Secondly, The paper selects 16 commercial Banks’ data from 2007-2013 which released in Shanghai and Shenzhen stock market in our country, analyze how the status of women directors, like the number of female directors, the proportion of women directors and female directors’ average level of education affects bank performance. The empirical research shows that:The number of female directors has a positive effect on commercial bank’s performance, but not significant. It means increasing the number of female directors has yet to play a positive but not significant influence, the reason may be that the female directors in commercial Banks in our country is now less people, the addition of female directors didn’t get the attention they deserve.Women directors proportion also has a positive but not significant effects on banking business performances. Investigate its reason is that most banks’ female directors proportion has not achieved values which they deserve, so they can not have a significant positive effect on bank performances.Female directors’ education level significantly positively related to the banks’ performance. A female director who has a good education background, a higher level of human capital and intelligence will own the ability to maximize managements’ perfprmance in the company, so its role can positively affect the whole the directors of the company decision-making level, thus to improve banks’ performance.
