In recent years, with the development of economy and constantly improvement of the financial system, Chinese industrial investment fund is developed rapidly, the number and scale are expanded unceasingly, it plays an increasingly important role in the financial system, and becomes an important financing way after bank loans and securities issue, the impact for the economic development is more and more big. Vigorously development of industrial investment fund could broaden the financing channels of small and medium-sized enterprises, promote the upgrading of industrial structure and technological innovation, optimize the allocation of resources, and then promote the development of multi-level capital market, promote the healthy development of economy. But at the same time, rapid development also appeared many problems needed to resolve:lag in legal and regulatory environment, lack of industry standards, lack of code conduct, unsound of exit mechanism, lack of talents, industry big but not strong, thereby accumulate more potential risk.The operation of industrial investment fund includes financing, investment and exit, Which is related to the key links in industrial investment fund is exit. Only a smooth exit mechanism can guarantee the benefits of the industrial investment fund and the sustainable development. Due to Chinese industrial investment fund started late, there are still many obstacles in the exit mechanism, if we do not pay attention and solve the problem, our industry investment market will be greatly restricted.Based on the related theory and current situation, this paper does research and analysis for the exit mechanism of domestic industrial investment fund. It mainly includes five main parts:the first chapter is literature review that mainly introduces the research status at home and abroad. The second chapter mainly introduces its related theory for the exit mechanism, including the concept and the way of exit. Third chapter combines with concrete data, and sums up the present situation of exit mechanism including two main exit ways and characteristic of exit mechanism. The fourth chapter belongs to puts forward problems, according to summarize the status quo in previous chapter, analysis the problem of industrial investment fund from the perspective of the internal and external environment. The last chapter respectively puts forward suggestions of perfecting exit mechanism from the angles of government and investment institutions.
