With the development of economic globalization and prosperous surging of knowledge-based economy, the business environment that enterprises are faced with has experienced great changes. Thus, in order to adapt to the change of environment and occupy advantageous competitive position, enterprises should improve and adjust their own structure and systems to establish new organization pattern---duality organization. In particular, the realization of organization duality in information technology industry with quick technical changes has important significance to break the dilemma that “improving existing technologies or explore new technologies”. How to realize organization duality? Most of previous research believes that situational factors, leader behavior and organization structure are the important factors influencing organization duality. However, based on theoretical analysis, the thesis holds that although corporate governance is different from organization structure, it undoubtedly will exert important impact on organization duality. In view of this, the thesis further subdivides organization duality into balance duality and combining duality, and then explores the interactive mechanism between corporate governance, organization duality and corporate performance. Firstly, this thesis conducts theoretical analysis on their relations combined with principal-agent theory, stakeholder theory, Transaction Costs Theory, and resource-based view in order to lay a solid theoretical foundation for the follow-up study. On this basis, the thesis establishes the evaluation system for corporate governance, corporate performance and the measure standard of related control variables. Seven models have been set up based on that for empirical analysis. Then, sample with information technology industry from 2010-2013 and adopt descriptive statistics, correlation analysis as well as generalized least squares method, it makes empirical test towards relationship among corporate governance, organization duality and corporate performance. The results proved that:(1) Significant positive correlation is existed between corporate governance and balance duality, namely improvement of corporate governance will shorten the distance between exploration and utilization behaviors;(2) Positive correlation is existed between balance duality and corporate performance, which means realization of balance duality will be helpful for improvement of corporate performance;(3) Balance duality plays intermediation role between corporate governance and performance. That is to say the capacity for corporate performance improvement by corporate governance can be strengthened through balance duality, meanwhile it shows that corporate governance is the significant antecedent for realization of balance duality.(4) Relationship between corporate governance and combining duality hasn’t been proved, mainly because it is harder to realize than balance duality and corporate governance reveals balance mechanism and gets closer with balance duality. On the basis of empirical research, the thesis offers corresponding countermeasures and suggestions for realization of organization duality, especially for balance duality.
