As the global economic integration and international division be more and more important, Chinese companies, especially OEM companies which are on the bottom of value chain, are facing the problems like low profit, low-tech, and high competition. In the meanwhile, OEM must deal with the situation of increased RMB exchange rate, increased labor cost, and the incremental cost of capital. All of these put OEM into a position that the comparative advantage of low cost become weak, so OEM must improve their technology to find a new way out. In one hand, the cycle of self-R&D takes long time and high risk, and the technical market is also failed, in the other hand, companies through the way of OEM gain capital, technology, technique, and the experience of internationalization. All of these make overseas M&A be the best choice for them.This study will base on the view of technology platform upgrade to discuss the possible way for OEM to overseas M&A. Firstly, based on other researchers’ achievement, and combined with the present situation and characteristic of Chinese OEM tech-innovation, analyze the possibility of OEM improvement, and summarized three motivation. Then, posed this study’s emphasis---the way of OEM gain overseas M&A technology(OEM — ODM — OBM — M&A), using organization’s internal and external transmission mechanism to show the process of gaining, absorbing, digesting and transforming technology in different stages, and analysis the characteristics of core capability in four stages. After that, analyze influence factors from OEM companies’ self condition, be merged and acquired company’s technology level, and the cooperation relationship, and through analyzing three different ownership M&A in detail and OEM companies’ strategic goal to select. In the final, posed the conclusion and revelation.
