Strategic alliances are beneficial for the development of enterprises, in order to provide theoretical basis and guidance for the formation of strategic alliances between enterprises, this paper is dedicated to study the formation mechanism of strategic alliance, to reveal factors that influence the formation of strategic alliances as well as the relationship between these factors.On the basis of reviewing resource-based theory and transaction cost theory, relating resource and transaction cost to strategic alliance, then make the relationship between them more clear in the aspect of theory. This paper choses four strategic alliances as research objects to analyze their formation processes from resource and transaction cost perspectives. The research results show that both resource and transaction cost influence the formation of strategic alliances, and resource and transaction cost restrict mutually. The scarcity and complementarities of resources influence the formation of strategic alliance, the more resources that one enterprise have, the more attractive to potential partners. The higher the resources complementary is, the easier the cooperative relationship is to format. Transaction cost influence the formation of strategic alliance through profitability of behavior, the higher transaction costs of collaboration are, the more difficult the formatting of strategic alliance is; the lower transaction costs are, the more attractive it is for potential partners.
