| With the development of China Economy, there have been many small and medium-sized enterprises. Remarkable growth of these small and medium-sized enterprises makes great contributions to the economic development in China. And merger is an important way for them to get further development. However, there are some problems in their management, such as nonstandard operation. So, in this article, author will do some research about the management of merger based on classical theories and come up with some improvement. I hope that the result will be beneficial to the company in China.Through summary of the past research of merger, this thesis will analyze the quo status and trend of merger theory development. In addition, the article will put theory into practice and analyze the case of Yongsheng Group merge Jiangsu Huatong Company. First of all, the article will evaluate both of the relevant company to make sure the strategy of this merger. Then the progress of this merger will be abstracted into three parts:preparation, negotiation and integration. In detail, the progress will be finding proper company, evaluating the company, dealing the merger price, negotiation and integration after merger.In view of the situation of Hangzhou Yongsheng Company, this thesis will make the merger plan and revise it repeat to make contribution to small and medium-sized enterprises’merger development. |
