The implementation of equity incentive is the best way to motivate employees’ good performance in job according to the trend of the modern enterprises development and learning from the successful experience of domestic and foreign enterprises, in this way, the consistent interests of enterprises and employees can be realized.I am responsible for the C company to a limited liability company, the company has two urgent problems at present:one is how to retain talent and attract talent, to maximize human capital talent? Two is the number of shareholders present less, shares is too concentrated, not conducive to the development of the company.After the equity incentive meaning, discusses the function, theory of equity incentive basis and historical origin and applications at home and abroad study, I think that the implementation of equity incentive can well solve the problems facing the company, make the enterprise existing staff to change state of mind, take the initiative to assume responsibility, effective risk control, actively promote the ability to create value, better implementation of corporate strategic development planning, the formation of good spirit of enterprise culture, and continue to attract new talent to join our company, the formation of talent pool, so as to effectively solve the problem of corporate governance, make the company management upgrade. C companies to implement equity incentive is conducive to improve the company’s internal management control, performance evaluation and incentive system to update the design, optimizing the structure of corporate governance.This paper analyzes the C company’s equity incentive background, summarizes the strategic development plan of C company, and on the existing stock situation, C company performance appraisal system in the analysis of issues for the effective implementation of the equity incentive program, proposes to formulate the implementation of equity incentive of C company and the supporting measures, finally the application of the principle of equity incentive and according to C company’s strategic development planning and equity incentive targets, from the actual situation of C company based out of the equity incentive plan design.Take C company as the research example of equity incentive for Non-listed Company, especially has some positive significance to explore the technology of small micro enterprise equity incentives, has a certain reference value for the application and research of enterprise shareholder exit and entry mechanism after reform. This project has a certain guiding and application value for the development of the company, the other technology oriented enterprises use equity incentives promote the company’s development has a certain reference value and significance.
