At present, the development of the global economy(including China) overall slowdown, the real economy are widespread overcapacity situation. In this context, encourage enterprises through merger, acquisition and reorganization of resources integration and improve the efficiency of the use of resources, improve enterprise’s comprehensive strength and market competitiveness, but also conducive to resolving the real economy of excess capacity, adjust the industrial structure optimization, economic development is of great significance to our country. In March 2014 the state council issued "on further optimization of enterprise merger and reorganization of the market environment of opinions"([2014] no. 14), to promote and encourage enterprises to implement merger and reorganization, the tax policy, for perfecting the enterprise income tax, land value-added tax policy; The implementation of value-added tax, business tax policy, etc.For nearly a year, the ministry of finance, state administration of taxation issued multiple files, the basic building encourage enterprise merger, acquisition and reorganization of the preferential tax system, largely reduced the enterprise merger, acquisition and reorganization of tax cost. However, due to the development of economy, enterprise merger, acquisition and reorganization emerge in endlessly, in the form of practice of the situation is more complex, merger, acquisition and reorganization of the tax law system building in China starts late, and there are many drawbacks. In this background, to our country’s merger, acquisition and reorganization to evaluate tax policy system is necessary, clear whether it really reduces the m&a enterprise tax burden, promoted or at least not hinder the merger, acquisition and reorganization; To explore whether it could be used for tax evasion, as well as the existing problems and shortcomings in the process of actual execution.
