At present,China's economy has shifted from a stage of rapid growth to a stage of high-quality development.It is in a period of changing the development mode,optimizing the economic structure,and transforming the driving force of growth.In addition,with the increase of resource,energy and environmental pressure and factor cost,the market is pushing China's manufacturing industry to actively change its development mode and adjust its industrial structure,thus realizing the transformation and upgrading of the manufacturing industry.Therefore,this article has a certain practical guiding significance.From the perspective of mergers and acquisitions(M&A),reorganization,transformation and upgrading,this paper defines their concepts and summarizes their related theories and literature.In the part of theory,it analyzes the internal and external factors and modes of enterprise transformation and upgrading.This paper analyzes the key points in the process of transformation and upgrading of manufacturing through M&A,including the choice of the target enterprise,the recognition of the value of the target enterprise,the choice of financing and the mode of payment.It also analyzes the risks that should be paid attention to and prevented after the merger is completed.The effect of transformation and upgrading shows that M&A is an efficient way to transform and upgrade the manufacturing industry.In the case analysis,this article selected the successful case of Suzhou Dongshan Precision Manufacturing CO,.Ltd(DSBJ)to analyze and summarize its the motivation,model,key points,integration risk avoidance and other factors.As analysizing motivation,PEST is used to explore the external motivation of the enterprise,and the reasons for the precise development of FPC business in DSBJ are comprehensively analyzed by SWOT analysis.In the process of studying the time of M&A,the SPACE matrix is introduced.Internal and external factors are combined to analyze whether the M&A meets the development trend of the enterprise at this time.The choice of target enterprise,value confirmation and payment method are also discussed in depth,and the risks after M&A and how to prevent are summarized.At the same time,it also summarizes the effects of the transformation and upgrading of DSBJ from many sides.Based on the theoretical analysis and case study,this paper holds that:(1)Enterprises should choose the suitable mode of transformation and upgrading according to their own conditions,and they should seize the best opportunity for transformation and upgrading.SPACE analysis can be used to determine what kind of development strategy should be adopted by enterprises.(2)Seizing opportunities,choosing the right target companies,paying attention to the points in the process of M&A,paying attention to the effective integration after M&A,and maximizing the synergies are the key to the successful transformation and upgrading of enterprises relying on M&A.(3)M&A and restructuring can help enterprises achieve efficient transformation and upgrading.Industry is the core of the modern economy,the construction of the moderb economic system plays an important role in the modern industrial system.The transformation and upgrading of manufacturing industry has significant effect on China's economic development.Our vital mask is improving the quality of the attack system to achieve a higher level and higher quality of dynamic balance.In conclusion,this paper studies the case of the transformation and upgrading of DSBJ inorder to provide some enlightenment and reference for the domestic manufacturing industry in the transformation and upgrading.
