Research On The System Of Company's Business Transfer

Business activities are changing with each passing day, thus prompting countries all over the world to keep on improving legislation for domestic enterprises' business transfer systems so as to provide more support for business activities. Previously, China issued a series of legal regulations about enterprise restructuring, but regulations for business transfer are still lacking. A collection of problems are involved during the process of business transfer. Business transfer means not only property transfer, but also resolution procedures, contract forms, registration and announcement, credit and debt transfer, labor contract inheritance and obligation of prohibition on business competition concerning the transfer object. In current business transfer activities in China, lots of systems and regulations are incomplete. Its problematic operation procedures have triggered many disputes. Concerning these problems, this paper refers to relevant legislation of business transfer systems abroad, combines theories with practices and employs comparative analysis to study China's current systems, status of business transfer and existing problems.From the perspective of resolution procedures, contract forms, registration and announcement, credit and debt transfer, labor contract inheritance and obligation of prohibition on business competition, the author conducts an in-depth study on corresponding problems and attempts to seek legal protection for business transfer in China.
